These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Global Intellectual Solutions LLC ("Company," "we," "us," or "our") governing your use of the GuardUp mobile application (the "App") and related services (collectively, the "Services").
By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App and should uninstall it immediately.
GuardUp is a mobile application designed to help Brazilian Jiu-Jitsu practitioners track their training sessions, analyze progress, receive AI-powered coaching, and manage their BJJ journey. The App provides features including but not limited to:
To use certain features of the App, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason we deem necessary.
The App offers auto-renewable subscription plans ("Subscription") that provide access to premium features. Subscription details, including pricing and duration, are displayed within the App and may vary by region.
We may offer a free trial period for new subscribers. During the free trial, you will have access to premium features at no charge. If you do not cancel before the end of the free trial period, your Subscription will automatically begin and you will be charged the subscription fee.
IMPORTANT: Your Subscription will automatically renew at the end of each subscription period unless you cancel at least 24 hours before the end of the current period. By subscribing, you authorize us to charge your payment method for the renewal period.
You may cancel your Subscription at any time through:
Cancellation will take effect at the end of the current billing period. You will continue to have access to premium features until the end of your paid period.
We reserve the right to modify subscription prices. We will notify you of any price changes at least 30 days in advance. If you do not agree to the new price, you may cancel your Subscription before the change takes effect.

Payments are processed through Apple App Store (for iOS) or Google Play Store (for Android). You agree to comply with their respective terms and conditions.
Subscription fees are charged to the payment method associated with your App Store or Google Play account. You are responsible for ensuring your payment method is valid and up to date.
If a payment fails, we may suspend or terminate your Subscription. We are not responsible for any fees charged by your financial institution.

The App, including its design, features, content, and functionality, is owned by Global Intellectual Solutions LLC and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any content you create or upload through the App ("User Content"). By using the App, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of providing the Services.
You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.
Your use of the App is also governed by our Privacy Policy, which can be found at https://mat-mate.netlify.app/privacy-policy.html. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Global Intellectual Solutions LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the App or violation of these Terms.
We may terminate or suspend your access to the App immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the App will cease immediately.
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
